Charters of the "Falcon" series:
• one-page Charter "Solar Falcon"
• Charter on two pages (on one sheet) "Star Falcon 2.0"
• optimal in terms of volume (on five pages) Charter "Smart Falcon"
• the full Charter of the "Prudent Falcon" on 15 pages contains all dispositive rules and all the competence of the general meeting of participants
— modern universal Charters created in 2019-22.
The relevance of all Charters is April 2022.
They are suitable both for societies with one member, and with several without restrictions on their entry and exit from the society.
A single sole executive body is formed in the company, the powers of which are granted to one person.
Participants and the company enjoy the pre-emptive right to purchase a share or part of a share, including not all of it, sold by other participants at the offer price to a third party.
There is no Audit Commission in the company. Its functions can be performed by an auditor approved by the meeting.
The provisions of Article 45 (on interested party transactions) of the Law “On Limited Liability Companies” do not apply to the company.
Contributions to the property of the company by the decision of the meeting are not provided for by the participants.
The charter changed the procedure for convening, preparing and holding meetings of the meeting. Possibility provided:
• distribution of notifications to the participants about the convening of meetings of the meeting both by registered mail and by e-mail to the addresses indicated in the list of participants;
• remote participation in a meeting of the meeting;
• combination of voting at the meeting and absentee voting.
The adoption of a decision by the general meeting and the composition of the participants who were present at its adoption are confirmed by signing the minutes by the chairman of the meeting, the secretary of the meeting and the person (s) who counted the votes.
The Charter also states that there is no need for notarial confirmation of decisions taken by the sole participant, except as otherwise provided by law.
Participants and the company enjoy the pre-emptive right to purchase a share or part of a share, including not all of it, sold by other participants at the offer price to a third party.

Compliant with legislation as of April 1, 2022.
Created without logical contradictions, internal and external links.
Individual information about the society:
•name
•location
•the size of the authorized capital
•the date of the next meeting
•name and term of office of the executive body
are indicated in the Charters only once, and are collected on one page.
The provisions of the Charters are arranged in the most convenient sequence for searching, reading and understanding.
The set includes Instructions for the design of the Charter.
The dispositive norms and rules used in the Charter (107 rules in total) and the entire competence of the general meeting of participants (126 questions in total) are collected in the attached interactive guide - "Interactive Content of the Charter".
The directory also contains an interactive text of the Federal Law "On Limited Liability Companies" and selected passages from the Civil Code of the Russian Federation and Fundamentals of Russian Federation Legislation on Notaries with many mutual hyperlinks.
All Charters of the Falcon Series contain the same set of dispositive rules - ten of which have been changed by the Charters, and the rest act by default, that is, as written in the law. And therefore they can be considered one Charter, but in different versions - on 1, 2, 5 and 15 pages.
These are not only quantitative but also qualitative differences.
The charter of the "Sunny Falcon" on one sheet contains all individual information about the company (name, location, etc.), all dispositive rules that are changed by the Charter, as well as information that the fact that the decision is made by the sole participant does not require notarization except as provided by law.
The Star Falcon 2.0 Charter on two pages (which can be printed on both sides of one sheet) additionally contains the rules and regulations of the law that are valid regardless of their indication or non-indication in the charter, but are appropriate as a reminder.
The complete Charter of the "Prudent Falcon" contains all dispositive rules, including those that operate by default. It also contains, on six of the 14 pages of the text, all the competence of the general meeting, corresponding to the specified rules and the chosen structure of the company´s bodies, indicating the number of votes of the participants required to make a decision.
The optimal intermediate option between the full Charter and the Charter on one page (sheet) is the Smart Falcon Charter. Its text occupies 4 pages plus the title page.
For a company that consists of one member, it is better to choose a shorter Charter, as it is more invariant to changing legislation.
In societies with several participants, in order to prevent possible conflicts in the future and based on judicial practice, it is more reasonable to choose more complete Charters that minimize or completely exclude their possible ambiguous interpretation.
